Course purpose
The purpose of this course is to enable students to use and understand the basic legal institutes (instruments) of management of commercial companies in the field of corporate law and labour law. Also some bacis of contract law are included in the course.
Content (Syllabus outline)
Categories of legal entities in law
- criteria for classification of legal entities: foundations and corporations, private and public, profit and non-profit
- sources of law, legal status and statutory elements of commercial companies, cooperatives, foundations, associations and other private legal entities (assets, liabilities, the firm, the seat, the purpose, representation)
- sources of law, legal status and statutory elements of public legal entities (public institutes, public utilities, public funds, public agencies)
- authorisations of managers in conducting business
Governance of public and private entities
- legal position and powers of managers in business operations (corporate law aspect)
- legal position and power of managers as directors (labour law aspect)
Categorisation of labour relationships and sources of law
The authorization of the managers in managing the working processes versus rights and obigations of workers
- employment contract, rights and obligations of workers
- the flexibility of labour relations
- supervision powers of managers
- legal responsibility of managers
- termination of employment contract
- the powers and role of workers representatives (trade union, works councils)
